Please read these terms carefully before using our website or engaging our services. By accessing our website or entering into an advisory engagement with Tanjong Forge, you agree to be bound by these terms.
1. Definitions
- "Company", "We", "Us", "Our" — Tanjong Forge, a business registered in Malaysia, operating from Level 5, Southkey Mosaic, Jalan Bakti, 80150 Johor Bahru, Johor.
- "Website" — the website accessible at tanjong.live and its subpages.
- "Services" — advisory engagements offered by Tanjong Forge, including the Supply Flow Check, Inventory & Vendor Review, and Logistics Operations Programme.
- "Client", "You", "Your" — the individual or organisation accessing the website or engaging the Company's services.
- "Engagement" — a formal advisory project between the Company and a Client, confirmed in writing or by payment.
- "Deliverables" — documents, maps, reports, summaries, or plans produced by the Company as part of an Engagement.
- "Agreement" — these Terms and Conditions, together with any engagement letter, proposal, or written agreement between the parties.
2. Acceptance of Terms
By using the Website or engaging our Services, you confirm that:
- You are at least 18 years of age.
- You have the legal capacity to enter into a binding agreement.
- Where acting on behalf of an organisation, you are authorised to do so.
If you do not agree to these terms, please do not use the Website or engage our Services.
3. Description of Services
Tanjong Forge provides operational advisory services to businesses with supply chain and logistics needs. Our current service offerings are:
- Supply Flow Check (RM 660): a single-session review of one supply or delivery flow, resulting in a flow map and refinements list.
- Inventory & Vendor Review (RM 2,700): a multi-week engagement reviewing stock handling and supplier arrangements, resulting in a findings summary and prioritised action list.
- Logistics Operations Programme (RM 4,550): a wider engagement mapping end-to-end goods flow and producing a phased improvement plan.
Services are available primarily to businesses operating in Malaysia. Engagements outside Malaysia may be considered at our discretion.
4. Enquiries and Engagement Commencement
Submitting an enquiry through our website does not constitute a binding agreement. An Engagement begins only upon:
- receipt of written confirmation from the Company accepting your enquiry; and
- receipt of any agreed deposit or full payment, as specified in the engagement letter.
5. Client Responsibilities
To enable us to deliver our Services effectively, you agree to:
- Provide accurate, complete, and timely information relevant to the engagement.
- Make available the people, documents, and access reasonably required to conduct the engagement.
- Respond to communications within the timeframes agreed.
- Not use our Services for any unlawful, deceptive, or improper purpose.
- Not reproduce, share, or commercialise Deliverables beyond your own internal business use without our written consent.
6. Intellectual Property
All intellectual property rights in the Website and its content (including text, design, and structure) remain with Tanjong Forge or its licensors. You may not reproduce or adapt any part of the Website without our written permission.
Deliverables produced during an Engagement are licensed to the Client for internal business use only, subject to payment in full. Underlying methodologies, frameworks, and templates remain the intellectual property of Tanjong Forge.
7. Fees and Payment
- Fees are as specified in the engagement letter or on the Website at the time of agreement.
- Payment is accepted by bank transfer in Malaysian Ringgit (MYR).
- An invoice will be issued on confirmation of the engagement.
- Unless otherwise agreed in writing, the full engagement fee is due prior to commencement of work, or in accordance with the payment schedule stated in the engagement letter.
- Overdue amounts may be subject to a late payment fee of 1.5% per month.
8. Cancellation and Refunds
- Cancellations made more than 5 business days before the commencement of an engagement will receive a full refund, less any out-of-pocket expenses already incurred.
- Cancellations made within 5 business days of commencement are non-refundable.
- If we are unable to commence or complete an engagement for reasons within our control, we will refund a proportionate amount of fees received.
- Dissatisfaction with findings or recommendations, where the engagement has been conducted as described, does not entitle the Client to a refund.
9. Confidentiality
We treat all information provided by Clients during an engagement as confidential and will not disclose it to third parties except as required by law or with your written consent. Upon request, a non-disclosure agreement can be put in place before an engagement begins.
You agree to keep confidential any proprietary methodologies, frameworks, or processes disclosed to you during an engagement.
10. Disclaimers
Our advisory services are informational and operational in nature. We do not provide legal, financial, tax, accounting, or regulatory compliance advice. Any observations regarding those areas should be referred to a qualified professional.
The Website and our Services are provided in good faith based on the information available at the time. We do not represent that information on the Website is current, complete, or free from error.
Outcomes from our engagements depend on factors outside our control, including your team's implementation of recommendations. We make no undertaking as to the results that will follow from acting on our suggestions.
11. Limitation of Liability
To the fullest extent permitted by Malaysian law:
- Our total liability to you arising from or in connection with an engagement shall not exceed the total fees paid by you for that engagement.
- We shall not be liable for any indirect, consequential, or incidental losses, including loss of profit, loss of opportunity, or business interruption.
- Nothing in these terms excludes liability for death or personal injury caused by our negligence, or for fraud.
12. Indemnification
You agree to indemnify Tanjong Forge against any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, your misuse of our Services, or any inaccurate or misleading information you provide to us.
13. Termination
Either party may terminate an engagement in writing if the other party materially breaches the terms of the engagement and fails to remedy the breach within 10 business days of written notice.
We reserve the right to suspend or terminate access to the Website without notice if we believe the Website is being misused.
Clauses relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
14. Governing Law and Dispute Resolution
These terms are governed by the laws of Malaysia. Any dispute arising from these terms or an engagement shall first be referred to good-faith negotiation between the parties.
If a dispute cannot be resolved within 30 days of written notice, either party may refer the matter to mediation through the Malaysian Mediation Centre before commencing court proceedings.
The courts of Malaysia shall have jurisdiction over any unresolved disputes.
15. General
- Entire agreement: these terms, together with any engagement letter, constitute the entire agreement between the parties on the subject matter.
- Severability: if any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force.
- Waiver: failure to enforce any provision of these terms does not constitute a waiver of that provision.
- Assignment: you may not assign your rights or obligations under these terms without our written consent. We may assign our rights to a successor in the event of a business transfer.
- Notices: written notices may be sent by email to the addresses specified by each party.
16. Changes to These Terms
We may update these terms from time to time. Changes will be posted to this page with an updated "Last Updated" date. Where changes are material, we will endeavour to provide reasonable notice. Continued use of the Website or engagement of our Services after the updated terms are posted constitutes acceptance of those terms.
